1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between your agency ("Client," "you," or "your") and Infiniti Solution LLC ("Infiniti Solution," "we," "us," or "our"), a Minnesota limited liability company. By accessing or using our platform and services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Description of Services
Infiniti Solution provides a cloud-based home care management platform including client management, Electronic Visit Verification (EVV), scheduling, timesheets, 245D compliance tools, billing, and communications features designed for Minnesota licensed home care agencies. Services are provided on a subscription basis as outlined in your service agreement.
3. Account Registration & Eligibility
- You must be a licensed Minnesota home care agency or authorized representative to use the platform
- You are responsible for maintaining the confidentiality of your login credentials
- You must immediately notify us of any unauthorized account access at support@infinitisolution.org
- You are responsible for all activity that occurs under your account
- Accounts may not be shared with or transferred to third parties without written consent
4. Subscription & Payment
- Subscription fees are billed monthly or annually as selected during signup
- All fees are in U.S. dollars and are non-refundable except as required by law
- We reserve the right to modify pricing with 30 days' written notice
- Late payments may result in service suspension after a 10-day grace period
- You are responsible for all applicable taxes
5. HIPAA & 245D Compliance
Infiniti Solution acts as a Business Associate under HIPAA. A Business Associate Agreement (BAA) is required before using the platform to store or process Protected Health Information. You, as the Covered Entity, remain responsible for:
- Ensuring your agency's compliance with all 245D licensing requirements
- Training your staff on HIPAA requirements and platform usage
- Maintaining appropriate data access controls within your agency
- Reporting any suspected PHI breaches to us immediately
6. Acceptable Use
You agree NOT to:
- Use the platform for any unlawful purpose or in violation of any regulations
- Upload false, fraudulent, or misleading patient or billing data
- Attempt to gain unauthorized access to any part of the platform
- Reverse engineer, decompile, or copy the platform software
- Use the platform to store or transmit malicious code
- Sublicense or resell access to the platform without written authorization
7. Intellectual Property
All platform software, design, content, trademarks, and logos are the exclusive property of Infiniti Solution LLC. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform solely for your agency's internal operations. No ownership rights are transferred.
Your agency retains ownership of all patient and agency data you enter into the platform.
8. Data & Backups
We maintain regular backups and use industry-standard practices to protect your data. However, you are responsible for maintaining your own records as required by Minnesota DHS and 245D regulations. We are not liable for data loss resulting from your own actions or force majeure events.
9. Limitation of Liability
To the maximum extent permitted by law, Infiniti Solution's total liability for any claim arising under these Terms shall not exceed the fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption.
10. Termination
Either party may terminate the subscription with 30 days' written notice. We may terminate immediately for material breach of these Terms, non-payment, or regulatory violations. Upon termination, you will have 30 days to export your data before it is deleted in accordance with our data retention policy.
11. Governing Law
These Terms are governed by the laws of the State of Minnesota without regard to conflict of law principles. Any disputes shall be resolved in the courts of Hennepin County, Minnesota.
12. Changes to Terms
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the platform constitutes acceptance of the updated Terms.
